Licensee: The purchaser named in the transaction record
Effective Date: The date the transaction is completed

1. The Work

Noel Grass (the Composer) grants the purchaser (the Producer) a license to use the master recording titled [Track Title] (the Master) in the production titled [Project Name] (the Production).

2. Rights Granted

The Producer is granted a non-exclusive, non-transferable license to synchronise the Master with the Production and to distribute the Production containing the Master.

3. Term

This license is granted for the life of the Production.

4. Territory

This license is granted for worldwide territory.

5. Media

The Master may be used in the Production across all media, including but not limited to film festivals, streaming platforms, broadcast television, and home video.

6. Exclusivity

This license is non-exclusive. The Composer retains the right to license the same Master to other productions and to continue to distribute the Master independently.

7. Rights Retained

The Composer retains all rights to the underlying musical composition — including melody, harmony, arrangement, and structure. This license covers the use of the master recording only. No ownership of the composition is transferred under this agreement.

8. Delivery

The Composer will deliver the Master as a high-quality audio file (WAV or equivalent). This license agreement accompanies the delivered file.

9. Restrictions

The Producer may not:

• Resell, sublicense, or redistribute the Master as a standalone work
• Use the Master outside the Production named in Section 1
• Register the Master or any portion of it as their own work
• Claim authorship or ownership of the Master or the underlying composition

10. Public Performance Royalties

Any public performance royalties collected for the broadcast or public performance of the composition are payable to the Composer and are not included in this license. Collecting these royalties does not require any action from the Producer.

11. Collective Management

This is a direct license issued by the Composer, who owns all rights to the Master. No collective management organisation is involved.

12. Governing Law

This agreement is governed by the laws of the Republic of Kenya.

13. Acceptance

By completing the purchase of this license, the Producer accepts all terms stated in this agreement.
